ARTICLE TWELVE: The FOUNDATION shall be directed and administered by the Board of Directors, and the Executive Director:
a) The Directors shall be the maximum authority of the FOUNDATION and is the body that establishes policies, approves strategic and operational plans.
b) The Board of Directors, in association with the Executive Director, shall guide and oversee the processes and activities leading to the fulfillment of the plans, programs and projects of the FOUNDATION. In order to fulfill this statutory mandate, the Board of Directors can establish and regulate sub-agencies and positions as necessary for the proper functioning of the FOUNDATION.
c) The Executive Director and in his absence the Chairman of the Board, both named by the Board of Directors, shall be the legal representative of the FOUNDATION and shall be responsible for the implementation, monitoring and control of the plans, programs, and projects approved by the Board of Directors.
